Corporate & Commercial Law

Corporate and commercial law covers how businesses are formed, run and financed, and the legal relationships they enter into.

What this covers

  1. 01Company and LLP formation and structure
  2. 02Shareholder and partner arrangements
  3. 03Commercial contracts
  4. 04Proceedings before the National Company Law Tribunal
  5. 05Business disputes and restructuring

How it generally works

Companies are governed by the Companies Act, 2013, limited liability partnerships by the Limited Liability Partnership Act, 2008, and partnership firms by the Indian Partnership Act, 1932.

Many corporate disputes — such as oppression and mismanagement, and insolvency of companies — are heard by the National Company Law Tribunal (NCLT), with appeals to the National Company Law Appellate Tribunal.

Commercial relationships are governed mainly by the Indian Contract Act, 1872 and the terms the parties agree.
